RB-43-2006 Agreement with Ministry of National Education on Support, Installation and Integration of Internet Centres of Multimedia Information in the School Libraries

Pursuant to § 5 Act 1 Pt 3 of the Regulation issued by the Minister of Finance on 19 October 2005 concerning current and periodical information pertaining to companies traded on the stock exchange ComArch S.A.'s Management Board reports that on 9 June 2006 company obtained an agreement, signed on 30 June 2006 by consortium of ComArch S.A. and Ogólnopolska Fundacja Edukacji Komputerowej (hereinafter referred to as the "Consortium") with Ministry of National Education (hereinafter referred to as the "MEN").

The object of the agreement is support, installation and integration of Internet Centres of Multimedia Information in (hereinafter referred to as the "ICIM") in the school libraries located in the area of the III rd Region. According to the agreement, Consortium shall supply and install computer equipment with software in 1,334 school libraries located in 5 provinces: lubelskie, podlaskie, pomorskie, swietokrzyskie and warminsko-mazurskie. The net value of this agreement amounts to 19,062,856 PLN.

Any failure by Consortium to execute completion date, entitles MEN to claim the payment of contractual penalties in the amount of the legal interest of the value of the non-performed part of the agreement for every day of delay. MEN shall have the right to claim the payment of the contractual penalties in the amount of 5 % of the value of the non-performed part of the agreement when MEN withdraw the agreement for reasons Consortium is responsible for. MEN shall have the right to claim the payment of the contractual penalties in the amount of 5 % of one ICIM value which was delivered against the agreement for every day until the correct equipment is changed and correct web installation is done. In the case of delay in guarantee services MEN shall have the right to claim the payment of the contractual penalties in the amount of 1 % of one ICIM value for each day of delay in starting maintenance work and for each day of delay in completing maintenance work. Covenanted contractual penalties do not exclude the possibility of making a claim for breach of contract in the full value on general rules. The value of company's total equity constitutes the significant agreement's criterion.
