Pursuant to the rule number 2 of the Corporate Governance Principles, ComArch S.A.'s Management Board reports that

ComArch S.A.'s Board of Supervisors passed the resolution on 19 June 2006, in which projects of the resolutions at the AGM, to be held on 22 June 2006, are given positive opinion. Projects of resolutions were made public on 14 June 2006 in current report no. 34/2006.
