RB-3-2016 Contracts signed with Budimex SA for the implementation of the sixth stage of the investment in the Special Economic Zone in Krakow (SSE7) and the reconstruction of the SSE6 building

Pursuant to § 5 sec. 1 pt. 3 of the Regulation issued by the Minister of Finance on the 19th of February, 2009, concerning current and periodical information pertaining to companies traded on the stock exchange and on the conditions for recognizing the equivalence of information required by legal regulations binding in a country which is not a member state, the Management Board of Comarch S.A. announces that on the 18th of March, 2016, Comarch SA concluded two contracts with Budimex SA:

1) On implementation of the sixth stage of the investment in the Special Economic Zone in Krakow (SSE7). The subject of the contract is construction of an office building with road and technical infrastructure and a delivery of necessary materials and equipment. The total area of the building will be 27,736.07 m2. The contract value is PLN 69,704,097 net. The warranty period is 60 months. Payments will be made by Comarch SA within 30 days of receipt of invoice. Bank guarantee of good performance represents 10% of gross salary. Construction work will begin after the transfer of the construction site. Anticipated completion date is the third quarter of 2017.

2) On reconstruction of the SSE6 building (Studio 1) in the Special Economic Zone in Krakow. The subject of the contract is the reconstruction of the building from the warehouse to production purpose with road and technical infrastructure and the delivery of necessary materials and equipment. The contract value is PLN 4,350,000 net. Anticipated completion date is the third quarter of 2016.

The total value of contracts signed with the Budimex SA is PLN 74,054,097 net and thus fulfills the criterion of a significant agreement due to the fact that the total value of the contracts exceeds 10% of the Issuer's equity as at the 31st of December, 2015.

The highest value contract contains provisions relating to contractual penalties that may be required in relation to Budimex SA in particular:

1) 20% of gross contractual remuneration for failure to obtain the consent of subcontractors for the execution of payments in the manner described in the agreement.

2) 20% of gross contractual remuneration in case of withdrawal from the contract by Comarch SA in a situation when Budimex SA will not submit or renew (extend) guarantees of good performance or guarantee obligations.

3) 0.05% of gross contractual remuneration for each day of delay in the implementation of the contract subject.

4) PLN 200,000 for not submitting within the required deadline detailed table with an offer or its inconsistency with previously submitted offer.

 

Payment of contractual penalties does not exclude the right to claim for compensation exceeding amount of the penalties.

Other conditions do not differ from market standards used in contracts of this type.
